These Terms and Conditions ("Terms") govern your access to and use of the Rework platform, including our website, dashboard, AI agent, APIs, and related services (collectively, the "Platform"). Rework is operated by Rework Technologies Inc. ("Company"), a corporation duly organized and existing under the laws of the Republic of the Philippines. Rework is a conversational AI platform that helps businesses automate replies, capture leads, and generate business intelligence from their Facebook and Instagram messages.

By creating an account or using the Platform, you agree to comply with these Terms, the Republic Act No. 8792 (Electronic Commerce Act of 2000), and all applicable Philippine laws. If you do not agree, you must discontinue use of the Platform immediately.

1. Definitions

"Rework," "we," "us," or "our" refers to Rework Technologies Inc., the operator of the Platform.
"Customer," "Business," or "you" refers to any individual or entity that registers for and uses the Platform.
"End User" refers to any person who sends a message to a connected Facebook Page or Instagram account and interacts with the AI agent or your team through the Platform.
"Connected Account" refers to any Meta Platforms Inc. account, Facebook Page, or Instagram Professional account that you authorize Rework to access on your behalf through the official Meta APIs.
"AI Agent" refers to the Rework software that reads incoming messages, generates suggested or automatic replies, and captures structured information about conversations.
"Platform" refers to the Rework dashboard, AI Agent, APIs, integrations, and all related tools and services.

2. Eligibility and Account Registration

To use the Platform, you must be at least eighteen (18) years of age, have the legal capacity to enter into binding contracts, and be authorized to act on behalf of the business whose Facebook Page or Instagram account you connect. You agree to provide accurate, current, and complete information during registration and to keep this information up to date.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify Rework immediately of any unauthorized access or suspected breach.

3. Connection of Meta Accounts

To use the AI Agent, you must connect a Facebook Page or Instagram Professional account through Meta's official authentication flow. By connecting an account, you represent that:

You are the rightful owner or an authorized administrator of the Connected Account.
You have obtained any necessary internal approvals to allow Rework to send and receive messages on your behalf.
You will comply with Meta's Platform Terms, Developer Policies, and any guidelines applicable to Messenger and Instagram messaging.

You may disconnect any Connected Account at any time from your Rework dashboard. Doing so will immediately stop the AI Agent from reading or sending messages on that account.

4. Use of the Platform

You agree to use the Platform only for lawful business purposes. You agree not to:

Use the Platform to send spam, unsolicited promotional messages, or any communication that violates the Cybercrime Prevention Act (RA 10175) or applicable laws of any jurisdiction where your customers reside.
Use the Platform to send misleading, fraudulent, defamatory, harassing, or otherwise unlawful content.
Use the Platform to send health, financial, legal, or other regulated advice that you are not licensed to provide.
Circumvent or interfere with Rework's security features, rate limits, or fair-use protections.
Reverse engineer, scrape, or attempt to extract the underlying AI models, prompts, or proprietary data used by the Platform.

You are solely responsible for the content of any replies sent through the Platform, including replies generated by the AI Agent on your behalf and reviewed or approved by you.

5. Subscriptions, Billing, and Refunds

Rework is provided on a monthly or annual subscription basis. By subscribing, you authorize us to charge the applicable fees to your chosen payment method on a recurring basis until the subscription is cancelled. Fees, plans, and inclusions are described on our pricing page and may be updated from time to time.

You may cancel your subscription at any time from your dashboard. Cancellation takes effect at the end of the current billing period. We do not offer pro-rated refunds for partial periods, except where required by applicable consumer protection laws.

If a payment fails, we may suspend access to the Platform until the issue is resolved. Repeated failed payments may result in termination of your account.

6. Free Trial

We may offer a limited free trial of the Platform. During the trial, the AI Agent may operate with reduced limits and certain features may be unavailable. At the end of the trial, your account will either convert to a paid plan, if a payment method is on file, or be downgraded to a read-only state until a plan is selected.

7. Data, Privacy, and Confidentiality

Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, store, and process personal information. By using the Platform, you acknowledge that conversations and lead data may be processed by Rework for the purpose of providing, securing, and improving the service, subject to the safeguards described in the Privacy Policy.

You retain ownership of the content and data you upload to the Platform. You grant Rework a limited, non-exclusive license to use this content solely to operate and improve the Platform for you.

8. Service Availability

We work to keep the Platform available 24/7, but we do not guarantee uninterrupted access. Planned maintenance, infrastructure issues, or actions taken by Meta on Connected Accounts may temporarily affect availability. Where reasonable, we will provide advance notice of planned maintenance through the dashboard or email.

9. Intellectual Property

All intellectual property rights in the Platform, including software, content, branding, and documentation, are owned by Rework Technologies Inc. or its licensors. Nothing in these Terms grants you any right to use Rework trademarks or branding without our prior written consent.

10. Termination

You may terminate your account at any time. We may suspend or terminate your account if you breach these Terms, violate Meta's policies in a way that affects your Connected Account, or use the Platform in a way that creates legal, reputational, or security risk for Rework or other users. On termination, your right to access the Platform ends, and we will retain or delete your data in accordance with the Privacy Policy.

11. Disclaimer of Warranties

The Platform, including the AI Agent, is provided "as is" and "as available." AI-generated replies may contain inaccuracies. You are responsible for reviewing how the AI Agent represents your business, your products, and your policies. To the maximum extent permitted by law, Rework disclaims all warranties, express or implied, including fitness for a particular purpose, accuracy, and non-infringement.

12. Limitation of Liability

To the maximum extent permitted by law, Rework's total liability arising out of or related to your use of the Platform will not exceed the fees you paid to Rework in the twelve (12) months preceding the event giving rise to the claim. Rework will not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or lost revenue.

13. Governing Law and Disputes

These Terms are governed by the laws of the Republic of the Philippines. Any dispute arising out of or in connection with these Terms will be brought before the courts of Metro Manila, Philippines, unless otherwise required by applicable law.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you through the dashboard or by email. Continued use of the Platform after changes take effect constitutes your acceptance of the updated Terms.
